Vendor Terms and Conditions

1. Introduction
These Vendor Terms and Conditions ("Terms") govern the relationship between EverAfter Pte. Ltd., a company incorporated in Singapore ("EverAfter", "we", "us", or "our") and wedding service vendors ("Vendor", "you", or "your") who join our vendor network.
By applying to join our vendor network or using our services, you agree to be bound by these Terms and our Privacy Policy.
2. Definitions
- "Platform" means EverAfter's website, mobile application, and related services
- "Vendor Network" means the curated group of wedding service providers partnered with EverAfter
- "Client" or "Customer" means couples or individuals seeking wedding services through our Platform
- "Services" means the wedding-related services you provide to Clients
- "Lead" means a potential customer referral provided by EverAfter
3. Vendor Application and Acceptance
3.1 Application Process
- You must complete our vendor application form truthfully and accurately
- EverAfter reserves the right to accept or reject any application at our sole discretion
- We may request additional documentation or information during the review process
- Application approval does not guarantee lead generation or bookings
3.2 Eligibility Requirements
To join our Vendor Network, you must:
- Be legally authorized to provide wedding services in Singapore
- Hold all necessary licenses, permits, and insurance required for your business
- Have a proven track record of providing quality wedding services
- Maintain professional standards consistent with EverAfter's brand values
- Comply with all applicable Singapore laws and regulations
4. Vendor Obligations
4.1 Service Standards
You agree to:
- Provide high-quality, professional wedding services
- Maintain appropriate business licenses and insurance coverage
- Respond to Client inquiries within 72 hours during business days
- Honor all quoted prices and service descriptions for at least 30 days
- Provide accurate and up-to-date information about your services
4.2 Professional Conduct
You must:
- Treat all Clients with respect and professionalism
- Maintain confidentiality regarding Client information and wedding details
- Not discriminate against Clients based on race, religion, nationality, gender, or sexual orientation
- Comply with Singapore's Personal Data Protection Act (PDPA) when handling Client data
- Report any issues or complaints to EverAfter promptly
4.3 Marketing and Branding
- You may reference your participation in EverAfter's Vendor Network in your marketing materials
- You must not misrepresent your relationship with EverAfter
- All marketing claims must be truthful and compliant with Singapore advertising standards
- EverAfter may feature your work in our marketing materials with proper attribution
5. EverAfter's Obligations
5.1 Lead Generation
EverAfter will:
- Match your services with suitable Clients based on their preferences
- Provide you with qualified leads when available
- Share relevant Client contact information and requirements
- Maintain the quality and integrity of our matching algorithm
5.2 Platform Services
We will:
- Maintain our Platform and its functionality
- Provide customer support for technical issues
- Handle initial Client inquiries and screening
- Protect your business information according to our Privacy Policy
6. Financial Terms
6.1 Fees and Commissions
- Joining EverAfter's Vendor Network is currently free for approved vendors
- EverAfter reserves the right to introduce fees or commission structures with 30 days' written notice
- You are responsible for all costs related to providing your services to Clients
- All payments between you and Clients are handled directly between parties
6.2 Pricing and Payments
- You set your own prices for services
- All financial transactions with Clients are your responsibility
- You must honor quoted prices for the agreed-upon period
- EverAfter is not responsible for payment disputes between you and Clients
7. Intellectual Property
7.1 Your Content
- You retain ownership of your business information, photos, and marketing materials
- By joining our network, you grant EverAfter a non-exclusive license to use your content for Platform operations and marketing
- You warrant that you have the right to grant this license for all submitted content
7.2 EverAfter's Property
- EverAfter owns all rights to our Platform, brand, and proprietary matching technology
- You may not copy, modify, or reverse-engineer any part of our Platform
- The EverAfter name and logo are our trademarks and may only be used as permitted
8. Data Protection and Privacy
8.1 Client Data
- Client information provided by EverAfter must be used solely for providing quoted services
- You must comply with Singapore's Personal Data Protection Act (PDPA)
- Client data must not be shared with third parties without consent
- You must securely store and protect all Client information
8.2 Business Data
- EverAfter will protect your business information according to our Privacy Policy
- We may use aggregated, anonymized data for business analytics and improvement
- Your contact information may be shared with matched Clients as part of our service
9. Termination
9.1 Termination by Either Party
- Either party may terminate this agreement with 30 days' written notice
- EverAfter may terminate immediately for breach of these Terms
- You may terminate by removing your profile from our Platform
9.2 Effect of Termination
Upon termination:
- Your vendor profile will be removed from our Platform
- You must complete any ongoing Client engagements
- Both parties' confidentiality obligations continue
- No refunds will be provided for any fees paid
10. Limitation of Liability
10.1 Disclaimer
- EverAfter provides lead generation services on an "as-is" basis
- We do not guarantee the number or quality of leads you will receive
- We are not responsible for Client payment disputes or service issues
- Our total liability is limited to fees paid to us in the preceding 12 months
10.2 Indemnification
You agree to indemnify EverAfter against any claims arising from:
- Your provision of services to Clients
- Breach of these Terms or applicable laws
- Infringement of third-party rights
- Your use of our Platform
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by Singapore law, and any disputes will be subject to the exclusive jurisdiction of Singapore courts.
11.2 Alternative Dispute Resolution
Before initiating legal proceedings, parties agree to attempt resolution through:
- Direct negotiation between the parties
- Mediation through the Singapore Mediation Centre, if necessary
12. General Provisions
12.1 Modifications
EverAfter may modify these Terms at any time by providing 30 days' notice. Continued use of our services after modifications constitutes acceptance.
12.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
12.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
12.4 Assignment
You may not assign your rights or obligations under these Terms without our written consent. EverAfter may assign its rights and obligations to any affiliate or successor entity.
